Terms of service

1. Overview

This website and platform are operated by Naft Unique GmbH (“we”, “us”, “our”, “Naft Unique”, or “PromptSpace”). By accessing or using our website, SaaS platform, marketplace, or any related services (collectively, “Services”), you (“User”, “you”, “your”) agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and all other referenced policies.

If you do not agree to these Terms, you may not access or use our Services.

2. Scope of Services

Naft Unique provides a cloud-based SaaS platform for prompt management, collaboration, and marketplace transactions involving digital goods (including but not limited to prompts, templates, and other user-generated content). We may also offer physical goods and related services.

Our Services are intended for freelancers, digital nomads, solopreneurs, startups, and other business users globally.


3. Account Registration and Eligibility

You must be at least the age of majority in your jurisdiction to use our Services. By registering, you represent that all information provided is accurate and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

We reserve the right to suspend or terminate accounts for violations of these Terms or applicable law.


4. User Content and Intellectual Property

4.1 Ownership and License

You retain all intellectual property rights in content you create, upload, or share on PromptSpace (“User Content”, including prompts, templates, and other digital goods). By submitting User Content, you grant Naft Unique a worldwide, non-exclusive, royalty-free license to use, host, display, reproduce, and distribute your content solely for the purpose of operating and improving the Services.

4.1.1 Use of Company Content

All content provided by PromptSpace or Naft Unique, including but not limited to frameworks, text templates, descriptions, and other textual or conceptual materials (“Company Content”), may only be used with the attribution “by PromptSpace.ai”. Any commercial use requires prior written consent from PromptSpace.ai. Private or non-commercial use is permitted with attribution. This applies regardless of whether the content is used in its original form, modified, or incorporated into derivative works.

4.2 Responsibility for Content

You are solely responsible for your User Content and for ensuring you have all necessary rights and permissions. You must not upload or share content that infringes third-party rights, is unlawful, or violates these Terms.

Naft Unique reserves the right (but not the obligation) to remove or disable access to any content that violates these Terms or applicable law.


5. SaaS Services, Digital Goods, and Marketplace

5.1 SaaS Platform

Our SaaS platform enables you to manage, organize, and optimize prompts and other digital content. We strive to provide high availability but do not guarantee uninterrupted or error-free operation. Service levels (SLA) may be specified in a separate agreement.

5.2 Marketplace

The marketplace allows users to buy and sell digital goods (e.g., prompts, templates). Naft Unique may charge a commission on sales, as disclosed on the platform. All marketplace transactions are subject to these Terms and any additional marketplace rules.

Naft Unique is not a party to transactions between users and does not guarantee the quality, legality, or fitness of any digital goods sold by users. Disputes between buyers and sellers must be resolved between the parties; however, we may assist at our discretion.

5.3 Collaboration and Team Features

If you use collaboration or team features, you are responsible for managing access rights and permissions for your team members. Shared content may be visible to authorized users within your organization or team.


6. API Integrations and Third-Party Services

Our Services may integrate with third-party platforms (e.g., OpenAI, Midjourney, Webflow, Stripe). When you use such integrations, your data may be shared with or processed by those third parties, subject to their terms and privacy policies. Naft Unique is not responsible for the acts or omissions of third-party providers.

You are responsible for complying with all applicable third-party terms when using integrations.


7. Payments, Subscriptions, and Refunds

7.1 Fees and Billing

Access to certain features or digital goods may require payment of fees or a subscription. All fees are disclosed at the time of purchase and are payable in the currency specified on the platform. You authorize us to charge your selected payment method for all applicable fees.

7.2 Subscription Terms

Subscriptions automatically renew unless canceled before the end of the current billing period. You may cancel your subscription at any time via your account settings; cancellation will take effect at the end of the current period.

7.3 Refund and Cancellation Policy

All purchases of digital goods (including prompts, templates, and subscriptions) are final and non-refundable, except as required by law or as expressly stated in these Terms.

Subscription Cancellation:
You may cancel your subscription at any time via your account settings. Cancellation will take effect at the end of the current billing period. No partial refunds are provided for unused periods.

Physical Goods (if applicable):
If you purchase physical goods, you may return them within 14 days of receipt, provided they are unused and in original condition. Please contact us at legal@naft-unique.com for return instructions.

8. Data Protection and Privacy

We process your personal data in accordance with our Privacy Policy, which forms part of these Terms. By using our Services, you consent to such processing.

You may request export or deletion of your data and content at any time, subject to legal retention requirements.

We use subprocessors and third-party service providers to deliver our Services. A current list is available upon request..

A Data Processing Agreement (DPA) is available upon request for business customers.

9. Service Availability, Maintenance, and Data Export

We strive to provide reliable Services but do not guarantee uninterrupted availability. We may perform maintenance or updates that temporarily affect access.

You may export your prompts and other data in a machine-readable format at any time to avoid vendor lock-in.


10. Prohibited Conduct

You agree not to:

Use the Services for unlawful, fraudulent, or harmful purposes
Infringe the intellectual property or privacy rights of others
Upload or distribute viruses, malware, or harmful code
Attempt to gain unauthorized access to our systems or data
Use the Services to spam, phish, or harass others
Circumvent or attempt to circumvent security features

All users must also comply with our Community Guidelines, User Policy which set out additional rules for acceptable behavior and content.

We reserve the right to suspend or terminate your access for violations.

11. Disclaimers and Limitation of Liability

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, Naft Unique disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Naft Unique is not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or business opportunities, even if advised of the possibility. Our total liability for any claim arising out of or relating to the Services will not exceed the amount you paid to us in the 12 months preceding the claim.

Some jurisdictions do not allow certain limitations, so these may not apply to you.


12. Indemnification

You agree to indemnify and hold harmless Naft Unique, its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from your use of the Services, your User Content, or your violation of these Terms or applicable law.


13. Termination

You may terminate your account at any time via your account settings. We may suspend or terminate your access to the Services at our discretion, including for violations of these Terms.

Upon termination, your right to use the Services ceases immediately. Sections regarding intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution survive termination.


14. Governing Law and Dispute Resolution

These Terms are governed by the laws of Switzerland, without regard to conflict of law principles. The exclusive place of jurisdiction is Zug, Switzerland.

Any disputes arising out of or relating to these Terms or the Services will be resolved by binding arbitration on an individual basis, except where prohibited by law. You waive any right to participate in class actions or jury trials.


15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or platform notice. Your continued use of the Services after changes become effective constitutes acceptance.


16. Miscellaneous

No agency, partnership, joint venture, or employment relationship is created by these Terms. If any provision is found unenforceable, the remaining provisions remain in effect.

You may not assign your rights or obligations under these Terms without our prior written consent.

2.4 API Integrations and Third-Party Platforms

Our Services may integrate with third-party platforms (e.g., OpenAI, Midjourney). When you send Prompts or data to these platforms, processing is governed by the privacy policies of the respective third parties. We recommend reviewing their policies before use. We are not responsible for data processing on third-party platforms.

6. Data Retention and Deletion

We retain your personal data and Prompt content for as long as your account is active or as required to fulfill our legal obligations.
You may request a copy of your stored Prompts and account data in a machine-readable format (e.g., CSV, PDF) or request deletion at any time. Upon account deletion, all personal data and Prompt content will be deleted within 30 days, unless retention is required by law.

10. Marketplace and Collaboration Terms

When you share Prompts with other users or publish them on the marketplace, you control the visibility and access rights. Marketplace Prompts may be subject to additional terms, which you must accept before publishing.
You are responsible for ensuring that shared or published content does not infringe on the rights of others or violate any laws.

If you are a California resident, the California Consumer Privacy Act (CCPA) provides you with specific rights regarding your personal information:
